Ravenna, 19 December 2025 – It is hereby announced that the Chair of the Board of Statutory Auditors, Dr Andrea Magnani, tendered his resignation on 10 December of the current year for personal reasons which, in the coming period, will no longer allow him to continue to ensure the full and proper commitment required by the role.

It is also hereby informed that the alternate statutory auditors, Dr Mauro Carducci and Dr Samantha Gardin, communicated respectively on 19 December 2025 and 18 December 2025 their decision not to assume the position of standing statutory auditor in replacement of Dr Magnani, the former for personal reasons and the latter due to newly arisen professional commitments.

Pursuant to Article 2401 of the Italian Civil Code, the necessary resolutions shall be adopted in order to provide for the integration of the entire Board of Statutory Auditors.

The Company wishes to thank Dr Magnani for the professionalism and dedication demonstrated in the performance of his duties.

Based on the information available to the Company, neither Dr Magnani, nor Dr Carducci, nor Dr Gardin hold any shareholdings in Itway.
